GSHL Informatics provides software development, web development, mobile application development, IT consulting, digital transformation, maintenance, support, design, and other related technology services. The exact scope of any paid engagement will be governed by the proposal, statement of work, quotation, email confirmation, service agreement, or other written communication accepted between the parties.

2. Website Use

You agree to use this website only for lawful purposes. You must not:

  • misuse the website, servers, forms, or communication channels;
  • attempt unauthorised access to systems, accounts, networks, code, or data;
  • introduce malware, malicious code, spam, or harmful content;
  • copy, scrape, or exploit website material in violation of applicable law or our rights;

3. Enquiries and Proposals

Any information on this website is for general informational purposes only and does not constitute a binding offer unless expressly confirmed by us in writing. Timelines, pricing, deliverables, technology recommendations, and project assumptions shared during discussion stages are indicative until finalised in a mutually accepted agreement.

4. Client Responsibilities

Clients are responsible for:

  • providing accurate project requirements, content, approvals, and access credentials;
  • ensuring they have rights to all materials, data, media, trademarks, and content supplied to us;
  • reviewing deliverables within agreed timelines and providing timely feedback;
  • complying with applicable laws, licences, and third-party terms relevant to their business and project.

Any delay caused by missing inputs, approvals, or dependencies may affect timelines and delivery commitments.

5. Fees and Payments

Unless otherwise agreed in writing:

  • quotations and commercial terms are subject to revision until formally accepted;
  • invoices are payable within the period mentioned in the invoice or agreement;
  • taxes, duties, gateway charges, bank charges, or statutory levies are payable as applicable;
  • delayed payments may result in suspension of work, support, access, or delivery.

Amounts paid for completed milestones, reserved resources, third-party purchases, or work already performed are generally non-refundable except where otherwise agreed in writing.

6. Intellectual Property

Pre-existing intellectual property, frameworks, reusable tools, libraries, know-how, templates, methodologies, and internal development assets of GSHL Informatics remain our property unless expressly assigned in writing.

Project-specific deliverables created for a client may be licensed or assigned according to the applicable contract, subject to full payment of all dues and any third-party licence restrictions.

You may not use our name, logo, content, design assets, case studies, or proprietary materials without prior written permission, except as permitted by law or agreement.

7. Confidentiality

Each party should treat non-public business, commercial, and technical information received from the other party as confidential and should not disclose it except as required for project execution, legal compliance, or with prior permission. This obligation does not apply to information already public through no fault of the receiving party.

8. Third-Party Services

Projects may depend on third-party tools, APIs, hosting providers, app stores, plugins, payment gateways, registrars, cloud vendors, or software libraries. We are not responsible for downtime, policy changes, pricing changes, discontinuation, security events, or performance issues caused solely by third-party services outside our reasonable control.

9. Warranties Disclaimer

This website and our services are provided on an "as is" and "as available" basis, except to the extent otherwise expressly agreed in writing. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

10. Limitation of Liability

To the maximum extent permitted by applicable law, GSHL Informatics shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings.

Our aggregate liability arising out of a specific project or service relationship shall not exceed the amount actually paid to us for the specific service giving rise to the claim, unless a written agreement signed by us states otherwise.

11. Suspension and Termination

We may suspend or terminate website access, discussions, support, or services if there is misuse, non-payment, unlawful activity, abusive conduct, security risk, breach of agreement, or other material non-compliance. Any termination will not affect accrued rights, payment obligations, confidentiality obligations, or provisions intended to survive termination.

12. Indemnity

You agree to indemnify and hold harmless GSHL Informatics from claims, losses, liabilities, damages, and expenses arising from your misuse of the website, your breach of these Terms, your content, your data, or your violation of any third-party right or applicable law.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Subject to applicable law and any written agreement between the parties, disputes relating to website use or services shall be subject to the competent courts located in Mohali, Punjab, India.
