4. Client Responsibilities

- reviewing deliverables within agreed timelines and providing timely feedback;
- complying with applicable laws, licences, and third-party terms relevant to their business and project.
Any delay caused by missing inputs, approvals, or dependencies may affect timelines and delivery commitments.
5. Fees and Payments
Unless otherwise agreed in writing:
- quotations and commercial terms are subject to revision until formally accepted;
- invoices are payable within the period mentioned in the invoice or agreement;
- taxes, duties, gateway charges, bank charges, or statutory levies are payable as applicable;
- delayed payments may result in suspension of work, support, access, or delivery.
Amounts paid for completed milestones, reserved resources, third-party purchases, or work already performed are generally non-refundable except where otherwise agreed in writing.
6. Intellectual Property
Pre-existing intellectual property, frameworks, reusable tools, libraries, know-how, templates, methodologies, and internal development assets of GSHL Informatics remain our property unless expressly assigned in writing.
Project-specific deliverables created for a client may be licensed or assigned according to the applicable contract, subject to full payment of all dues and any third-party licence restrictions.
You may not use our name, logo, content, design assets, case studies, or proprietary materials without prior written permission, except as permitted by law or agreement.
7. Confidentiality
Each party should treat non-public business, commercial, and technical information received from the other party as confidential and should not disclose it except as required for project execution, legal compliance, or with prior permission. This obligation does not apply to information already public through no fault of the receiving party.
8. Third-Party Services
Projects may depend on third-party tools, APIs, hosting providers, app stores, plugins, payment gateways, registrars, cloud vendors, or software libraries. We are not responsible for downtime, policy changes, pricing changes, discontinuation, security events, or performance issues caused solely by third-party services outside our reasonable control.
9. Warranties Disclaimer
This website and our services are provided on an "as is" and "as available" basis, except to the extent otherwise expressly agreed in writing. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
10. Limitation of Liability

Any termination will not affect accrued rights, payment obligations, confidentiality obligations, or provisions intended to survive termination.
